1. Identification of the Company
2. 1. “XERPA TOURIST, S.L.” is an Andorran commercial company engaged in the activities typical of a tour operator and booking centre, and owner of the website www.andorra.com (the “Website” from now on).
   2. The details of the company that owns the aforementioned Website are set out below:

   3. From now on, the company “XERPA TOURIST, S.L.”, together with its affiliated companies (identified in Annex 1) shall be referred to, indistinctly, as the “Company”.
2. About the platform “Andorra.com”
3. 1. The website www.andorra.com aims to provide information and advertising about various products and services offered in the Principality of Andorra.
   2. Likewise, users of the Website (the “Users”, from now on) may purchase the products and services offered by the various providers (the “Providers”), such that the Website acts as a “marketplace” connecting consumers with the leading providers in the Principality.
   3. To purchase products and services from the Website, Website Users must register on the Andorra.com platform by creating a specific user account.
   4. From now on, both the publicly accessible Website and the platform available to registered Users shall together be referred to as the “Platform”.

4. 1. If you wish to contact Andorra.com, you may write to info@andorra.com, contact us through the “Contact” section of the Platform, or write to us at Avinguda Nacions Unides, 40, 1, Edifici A Tower, Escaldes-Engordany (AD700).
4. Nature of the Terms of Use
5. 1. These terms and conditions (the “Terms of Use” from now on) govern access to and use of the Platform, which is managed by the Company as part of the activities described in the previous point.
   2. The products and services offered on the Platform may be subject to specific conditions and/or regulations, which shall in all cases prevail over these Terms of Use, which shall apply on a subsidiary basis to anything not specifically regulated.
   3. Accessing the Platform means that the User has read and agrees to these Terms of Use. If the User does not agree, they must refrain from accessing and using the Platform.
5. Registration of Users on Andorra.com
6. 1. To register as a User on the Andorra.com Platform, the following requirements must be met:
   2. 1. Be at least 18 years old
      2. Truthfully complete the mandatory fields of the registration form.
      3. Carefully read and accept these Terms of Use.
      4. Carefully read and accept the Platform's Privacy Policy.
   2. Once the User has duly completed the registration form on the Platform, they are registered on it.
   3. Likewise, the User's registration on the Andorra.com Platform entails registration on the digital platform called “CityXerpa”, owned by the company “XERPA, S.L.”, identified in Annex I.
   4. Consequently, a User who has completed the Platform's registration form may access the CityXerpa digital platform using the same generated login credentials.
   5. The User is therefore aware that, by registering on the Andorra.com Platform, they are also registering on the “CityXerpa” platform, and they undertake to carefully read the terms and conditions governing that platform, which apply on a subsidiary basis to anything not regulated by the terms and conditions of Andorra.com.
   6. Notwithstanding the above, the Platform reserves the right to deactivate the User's access to the Platform and to CityXerpa in the event of a breach of any of the provisions contained in these Terms of Use, or if the information provided is not truthful.
6. Links to other websites
7. 1. The Platform may contain links to other third-party websites, social networks and/or applications, over which it exercises no control whatsoever, and it is not responsible in any case for their content, operation and/or use by Users.
   2. Specifically, the Platform may redirect the User to the CityXerpa digital platform (whether the website or the mobile app) when the User purchases any product or service provided by CityXerpa, for a better User experience.
   3. The User is aware that access to and use of the CityXerpa platform is governed by its own terms of use and other applicable regulations, which the User undertakes to read and accept if they wish to use the aforementioned CityXerpa platform.
7. Use of the Platform
8. 1. The Platform shall be available free of charge from any device.
   2. The Company reserves the right to suspend, withdraw, interrupt or modify the Platform, or its operation, whether partially or totally, without the need for prior notice to Users.
   3. The Company is not responsible for any interruption, error, malfunction or virus that arises from, or results from, the use of Andorra.com.
   4. The User is responsible for taking the necessary steps and measures to securely access the Andorra.com Platform.
   5. The User acknowledges and accepts that the information provided by the Platform regarding the products and services offered may not always be up to date.
8. User commitment
9. 1. The User expressly accepts that use of the Platform is at their sole responsibility, and expressly undertakes to comply with these Terms of Use.
   2. Likewise, the User undertakes not to misuse the Platform, refraining from:
   3. 1. Carrying out activities contrary to, unlawful under, or prohibited by the legal system and customs of the Principality.
      2. Copying, imitating or marketing, in any way, the content of Andorra.com.
      3. In general, carrying out actions contrary to or harmful to the interests of the Company, or of third parties in general.
   3. The Company reserves the right to block access, wholly or partially, for Users who misuse Andorra.com.
9. Specific conditions for Accommodation
10. 1. Purpose. This section governs the specific conditions applicable to the booking of accommodation services through the Platform. Accommodation services offered through Andorra.com may correspond either to accommodation marketed directly by Andorra.com or to bookings managed by third-party establishments with which the Platform maintains intermediation agreements.
    2. Nature of the contract. Depending on the case, andorra.com may act as an intermediary or as a direct seller:
    3. 1. When acting as an intermediary, the accommodation contract is formalised directly between the user and the corresponding establishment, and Andorra.com limits its involvement to facilitating the booking and managing the payment.
       2. In certain cases, Andorra.com acts as the direct seller of accommodation bookings obtained through wholesale tourism providers or intermediaries, who supply the availability and content of the establishments. In these cases, Andorra.com formalises the contract in its own name with the User, but performance of the service itself is the responsibility of the hotel establishment.
    3. Description of the accommodations. The data, descriptions and photographs of the establishments come from information provided by the hotels or providers themselves. Andorra.com strives to ensure that this information is accurate, complete and up to date, but cannot guarantee its total accuracy.
    4. Prices and taxes. All prices are expressed in euros (€) and include applicable General Indirect Tax (IGI), unless expressly stated otherwise. Local taxes or tourist fees, where applicable, will be communicated at the time of booking and must be paid directly at the establishment upon check-in. Prices may vary depending on the season, availability or current promotions, and will be fixed at the time the booking is confirmed.
       Depending on the arrangement applicable to each booking, the User will have available the corresponding invoice issued by Andorra.com or by the establishment providing the service. This invoice may be requested through the Platform and will be sent by email to the address provided by the User during the booking process.
    5. Bookings and confirmation. The booking shall be deemed formalised when the User receives the confirmation email issued by Andorra.com, which evidences the existence of the contract. The user is responsible for verifying the accuracy of the details entered (dates, number of guests, type of accommodation, etc.) before completing the booking process.
    6. Payments. Payment of the price may be made using the electronic payment methods enabled on the Platform. Andorra.com may charge the corresponding amount at the time of confirmation. All transactions are processed through secure payment gateways and in accordance with Andorran regulations on personal data protection and payment services.
    7. Cancellation of bookings and no-show (“no show”). Cancellation conditions will be expressly stated during the booking process. If cancellation is made within the established free-of-charge period, the corresponding amount will be refunded using the same payment method used. If cancellation occurs after the indicated period, or if the user does not show up at the accommodation on the scheduled date, Andorra.com may apply the charges specified in the booking. Where the cancellation or incident is attributable to the establishment or the provider, Andorra.com will act as an intermediary in managing the corresponding refund or alternative, without assuming direct responsibility for the provider's final decision.
       Andorra.com will not be liable for any failure to perform or delay in performing its obligations where this is due to force majeure or circumstances beyond its reasonable control, such as natural disasters, armed conflicts, strikes, government decisions, interruptions to public services or closures of hotel establishments due to extraordinary causes. In such cases, Andorra.com will act with the utmost diligence to arrange alternatives or refunds with the affected providers, without this implying any obligation of additional compensation beyond what they agree to refund.
    8. Check-in and check-out. The user must respect the established check-in and check-out times. At check-in, the identity of all guests must be verified using a valid official document, and the establishment's internal rules must be observed, particularly regarding coexistence, noise, smoking, pets or capacity.
    9. Limitation of liability. Andorra.com will not be liable for:
    10. 1. Damage or losses caused by circumstances beyond its control, such as force majeure, supply cuts, adverse weather conditions or negligent actions by users.
        2. Losses that may be caused by the unavailability of the service, whether due to causes within or beyond its control.
        3. Any discrepancies that may arise between the content published on the Platform and the actual accommodation.
        4. Damage or losses that may arise from access to, use of, or misuse of the Platform's content.
           The user shall be liable for any material or personal damage caused to the accommodation, its facilities or third parties during their stay.
    10. Claims and assistance. Any incident during the stay must be reported immediately to the customer service of Andorra.com, through the channel indicated in the booking confirmation. If the incident cannot be resolved on site, the user may file a formal claim in accordance with the procedure set out in Law 13/2013, of 13 June, on effective competition and the protection of consumers and users.
    11. Policy on minors. Minors must always be accompanied by a responsible adult. The Platform reserves the right to reject bookings that do not comply with this requirement.
10. Banking details
11. 1. By accepting these Terms of Use, the User authorises the Company to send instructions to the bank indicated by the User, for the purpose of setting up direct debits for the payments due under the Services contracted.
    2. The User may change their banking details at any time by contacting Andorra.com.
11. Intellectual and industrial property rights
12. 1. All intellectual and industrial property rights relating to the Platform belong to the Company, or to its licensors and/or collaborators, including the technology used and the trademark Andorra.com.
    2. The texts, images, videos and any other content displayed on the Platform are the exclusive property of the Company and/or its collaborators, who have duly authorised the Company.
    3. The User only holds the right to use the Platform, which must be exercised in accordance with these Terms of Use, the specific conditions and the applicable regulations in each case.
    4. Users accept that their use of the Platform does not entail the transfer of any intellectual and/or industrial property rights, copyrights, trademarks, designs or other rights over the Platform, nor over any other collaborating third party.
12. Updates to the Platform
13. 1. The Company reserves the right to update the content and/or operation of the Platform at any time, without prior notice to Users.
    2. These Terms of Use shall apply to the Platform, including any update or addition to it, unless such updates involve other specifically established terms of use.
13. Changes to the General Terms
14. 1. The Company reserves the right to review and modify these Terms of Use at any time, and they shall be binding on the User at all times.
    2. The Company recommends that the User periodically review the Platform's Terms of Use.
    3. Any modification made to these Terms of Use will be notified to the User through the Platform, and the User must read and accept the new Terms of Use in order to continue enjoying access to and use of the Platform.
14. Liability
15. 1. The User uses the Platform at their own risk, assuming full responsibility for compliance with the Terms of Use and other applicable regulations.
    2. The information contained on the Platform is informative and non-exhaustive in nature, and may not always be up to date.
    3. The Company is not responsible for the provision of services and/or delivery of products purchased through the Platform, this responsibility lying with the Providers.
    4. The User is responsible for any breach of these Terms of Use, specific conditions and/or applicable regulations, and must indemnify the Company for such breach.
15. Data protection and cookie policy
16. 1. The Company undertakes to protect the personal data provided by Users and to use it in accordance with the Law in force at any given time, provided that Users have given their express consent to the processing of such data.
    2. For more information on the protection of personal data, Users may consult the Privacy Policy.
    3. Likewise, Users may consult the Cookie Policy used on the Platform.
16. Applicable law
17. 1. These Terms of Use shall be governed by and interpreted in accordance with the specific legislation of the Principality of Andorra in force at any given time.
    2. Any dispute arising from these Terms of Use shall be submitted to the jurisdiction of the Andorran Courts, with express waiver of any other venue or jurisdiction.
